Terms
The terms, in plain words.
This is the agreement between your business and ours. We have written it to be read rather than skimmed past, but it is still the agreement — and the parts about who carries which risk are deliberately blunt.
Effective . Last updated .
The short version
- Sign up yourself and pay by card, monthly or yearly — or, for Enterprise, we agree a number in writing and invoice you. The Free plan costs nothing and takes no card.
- Card details live with a payment processor, never with us.
- Cancel whenever you like. When a paid plan ends, the team goes back to Free with everything in it. A Free team with no activity for 90 days may be deleted.
- We may delete any content, team or account at any time, for any reason, with no notice and no liability. Keep your own copies.
- What you put in stays yours. What we built stays ours.
- The service comes as it is, with no warranties of any kind.
- We are not liable for anything, data loss included. Keep your own copies.
- We can suspend or close an account at any time, for any reason or none.
- Indiana law, Porter County courts.
That box is a convenience. The numbered sections are the agreement.

1. Who this is between
sjTasks is a product of Sally Jo LLC, an Indiana limited liability company — "Sally Jo", "we", "us". These terms cover sjtasks.com, the application behind it, and anything else we give you access to as part of it.
By opening an account, signing in, or using sjTasks in any way, you agree to these terms. If you are doing that for a company, you are telling us you have the authority to bind it, and "you" means that company. If you do not agree, do not use sjTasks.
sjTasks is for business and organizational use. It is not offered for personal, family, or household purposes, and you must be at least 18 to hold an account.
2. Your account and your people
Give us accurate information and keep it current. Keep your credentials to yourself. Everything done under your account is your responsibility, whether or not you meant it to happen.
If you own a team, you are responsible for the people in it — members, admins, and any guest you invite to see a project. What they do counts as what you did. Taking someone out when they leave your business is yours to do, and we would rather you did it the same day.
Two-factor authentication is available to everyone and we would like you to turn it on. We are not responsible for anything that reaches your account through credentials you or one of your people let out.
Email that comes with the account. While you have an account we send you the email needed to run it: sign-in and security (confirming your address, password resets, two-factor), billing (receipts, a failed payment, a plan change, a plan ending), your team's data (a team going read-only, a workspace closing), and changes to these terms. These cannot be switched off while the account exists, because they are part of the service; closing the account ends them. Notifications about your work have their own switches in Settings, and any newsletter or product news has a one-click unsubscribe — leaving those never affects the account email.
Text messages. Texts are optional. If you give us a cell number and tick the box agreeing to texts, we send sign-in codes, system notifications, and system updates. Message and data rates may apply. Reply STOP to any text to stop them all, or use Stop all texts in your profile at any time. Reply HELP, or write to us through sjtasks.com/contact, for help. Agreeing is not required to use sjTasks. Carriers are not liable for delayed or undelivered messages.
3. What you may not do
Using sjTasks, you agree not to:
- break the law, or use sjTasks for anything illegal, fraudulent, or deceptive;
- store, send, or share content you do not have the right to, or that infringes anyone's intellectual property, privacy, or other rights;
- upload malicious code, or probe, overload, disrupt, or try to get around any part of our security;
- attempt to reach another customer's team, data, or files;
- resell, rent, or white-label access, or use sjTasks to build or run a competing product;
- use sjTasks to harass, threaten, or harm anyone;
- put data in sjTasks that carries special legal obligations we have not agreed to in writing — regulated health records, payment card numbers, government identity numbers, or anything under a compliance regime with its own rules. sjTasks is a project and task tool. It is not built, audited, or certified for that kind of data.
You are responsible for the content, the people, and the configuration you choose. If we believe any of the above is happening, we may remove content, restrict a team, or suspend an account, and we do not have to investigate or ask first.
4. Your content, and ours
Yours stays yours. The projects, tasks, notes, files, and reports you put into sjTasks belong to you. We claim no ownership of them.
To run the service for you, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, back up, index, and display that content — including through our vendors and partners who help us provide services to you. The licence exists only so the product can work, it lasts while your content is on the platform, and it ends when the content is deleted, except where we have to keep something by law.
We may share your information for whatever purposes we deem necessary, including but not limited to sharing with our vendors and partners who help us provide services to you. The Privacy Policy says more.
Ours stays ours. sjTasks itself — the software, the design, the interface, the name and marks — belongs to Sally Jo LLC. Nothing here transfers any of it to you.
If you send us an idea or a suggestion, we may use it to improve sjTasks with no obligation to you. We would rather have your ideas than have you hold them back over this paragraph.
5. What it costs
sjTasks is sold two ways. Self-serve plans are signed up for on this site: a Free plan that costs nothing and takes no card, and paid plans billed monthly or yearly at the prices on the pricing page. Enterprise is agreed in writing — we agree a number with you, we set you up, and we invoice you. You pay the invoice on the terms it carries.
Card payments are handled by a dedicated payment processor, not by us. Your card details are entered on that processor's own checkout page and held by it; we never see the card number and we never store it. You manage the card, change the plan, and cancel from the Billing page, which opens the processor's own billing portal. Paying by card also means agreeing to that processor's terms for the payment itself.
A paid plan renews, monthly or yearly as you chose, until you cancel it. Cancel whenever you like: the plan runs to the end of the period you have paid for and does not renew. If a card payment fails, the processor retries it, the Billing page says so, and nothing closes while it does; if the payment cannot be collected, the plan ends and the team follows the same path as a cancellation.
We set the plans, and we can change them. The plans we offer, what each one includes, the limits on it — people, projects, storage, file sizes — and what each one costs are set by us at our sole discretion, and we may add, change, or withdraw any of them at any time. If we raise the price of a plan you are already paying for, or cut a limit on it, we will tell you before it takes effect and it will not apply until your next renewal, so you can cancel first if you would rather. Everything else — new plans, new limits on plans you are not on, changes to the Free plan — can change with the pricing page.
Fees are non-refundable — including for time you did not use, downtime, a suspension, a termination, or a change of mind. Amounts past due may be suspended without notice, may accrue interest at the lower of 1.5% a month or the maximum the law allows, and you cover what it costs us to collect them.
What happens when a paid plan ends. The team goes back to the Free plan with everything in it. If what it holds fits Free, everything keeps working. If it holds more than Free allows, the team is read-only — every page still opens, the export still works, and nothing can be changed — until you make room (archive projects, take people off, move files to the trash) or choose a plan. A plan ending does not, by itself, remove anything. We keep the billing records (invoices, subscriptions and the history of the account) that we need to answer for what was charged.
A quiet Free team. A Free team with no activity for 90 days may be deleted, with its projects, tasks, notes, files and people. We may warn the owner first, but we do not have to. Export what you want to keep.
Referrals. Every team has a referral link. When a team that arrived through it pays for a plan, that team's first paid month is free, and the referring team is credited one month of the plan it is on when the credit lands — on a yearly plan, one twelfth of the yearly price. A credit comes off the referring team's own future invoices and is never paid out as cash. A referring team on the Free plan holds its credit until it chooses a plan; a credit not used within twelve months lapses. A referred team earns a credit once, and at most twelve credits are awarded to a team in any twelve months. We may hold a referral for review, and decline it, where the two teams appear to be one business or one payer; and if the payment that earned a credit is refunded or disputed within thirty days, the credit is withdrawn. We may change or end the programme at any time; a credit already applied stays applied.
6. As is, as available
sjTasks is provided "as is" and "as available". To the maximum extent the law allows, we make no warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment, or non-infringement.
We do not promise that sjTasks will be available, uninterrupted, timely, secure, or free of errors, or that any defect will be fixed. Reports, totals, reminders, notifications, and digests may be wrong, late, repeated, or never delivered at all. We may add, change, limit, suspend, or remove any feature or any part of sjTasks at any time.
sjTasks is not a substitute for your own records, your own backups, or your own judgement, and nothing it shows you is advice.
7. Your data and backups
This is the section worth reading twice.
We take backups, they are encrypted, and we test that they restore. We guarantee none of it, and you should not build a plan on it. We have no obligation to store, retain, back up, or recover any of your data.
We may delete any of your data — any content, any team, any account — at any time, for any reason or for no reason, without notice, and with no liability to you or to anyone else. Every retention period or deletion schedule described in these terms, in the Privacy Policy, on this site or in the product is our general practice, not an obligation, and we may change it or depart from it at any time.
Keeping your own copy of anything you cannot afford to lose is your job, not ours. If data is lost, deleted, corrupted, exposed, or simply cannot be recovered — by us, by a provider we rely on, by an attacker, or by nobody in particular — that is your risk, and we have no liability for it of any kind.
Getting a copy is a button, not a request: any admin can export the whole team from Team settings, at any time — the data and the files — and that export keeps working after a plan ends, even while the team is read-only. Export while you still have an account, and export often. If you would rather ask a person, the contact form works too.
8. No liability
To the maximum extent the law allows, Sally Jo LLC, its owners, employees, contractors, and suppliers are not liable to you or to anyone else for damages of any kind arising out of or relating to sjTasks — direct, indirect, incidental, special, consequential, exemplary, or punitive. That includes, without limiting any of it:
- data that is lost, deleted, corrupted, exposed, or cannot be recovered;
- downtime, outages, slowness, or a feature that stops working or goes away;
- a notification, reminder, digest, or report that was wrong, late, repeated, or never sent;
- any decision anyone made on the basis of anything sjTasks displayed;
- lost profits, lost revenue, lost business, lost goodwill, lost opportunity, or wasted time;
- anything one of your people, one of your guests, or one of your own clients did inside your team;
- a suspension or termination of your account, and everything that followed from it.
This applies even if we were told the damage was possible, and even if a remedy in these terms fails its essential purpose.
Where the law will not allow an exclusion that broad, our total liability for every claim together, however it arises, will not exceed the greater of (a) what you actually paid us for sjTasks in the three months before the event that led to the claim, or (b) US $0.
You use sjTasks entirely at your own risk. These limits are part of how the price works: we would not offer sjTasks without them, and what you pay reflects that allocation of risk. Some places do not allow some of these exclusions, and where that is true our liability is limited as far as that law allows and no further.
9. Claims that come from your use
You will defend, indemnify, and hold harmless Sally Jo LLC, its owners, employees, and suppliers against any claim, demand, loss, damage, penalty, or expense — including reasonable legal fees — arising out of your use of sjTasks, the content or the people in your team, or your breach of these terms.
If it comes to a dispute between us over any of that, you also cover our costs of enforcing these terms and of recovering what is owed, including legal fees, court costs, and collection costs. This survives the end of your account.
10. Suspension and termination
We may suspend or terminate your account, your team, or any part of your access at any time, for any reason or for no reason, with or without notice, at our sole discretion. We do not have to explain it, and we have no liability to you or to anyone else for it or for anything that follows from it, including loss of access to your data.
You can leave whenever you like. On a self-serve plan, cancel from the Billing page — it is a button, not a maze — and the plan runs out at the end of what you have paid for. On an Enterprise arrangement, ask through the contact form and a person will close your team. Fees already paid or already owed are not refunded.
A team whose plan ends goes back to Free, as section 5 describes. An owner who closes a workspace has 30 days to reopen it; after that its work is removed. A Free team with no activity for 90 days may be deleted. As section 7 says, we may delete any data at any time, and after an account ends we may delete its data at any time, so take your copy while the export is a button, and keep your own copies as you go.
11. Changes
We may change sjTasks, and we may change these terms. When the terms change we update the date at the top of this page. If a change matters, we will tell active customers rather than hope they re-read the page.
Continuing to use sjTasks after a change takes effect means you accept it. If you do not accept it, stop using sjTasks and ask us to close your team.
12. Governing law and disputes
These terms are governed by the laws of the State of Indiana and the federal law of the United States, without regard to conflict-of-laws rules. Sally Jo LLC is an Indiana limited liability company, registered to do business in Illinois. Neither that registration nor any office we keep changes the law or the venue set out here.
Any dispute, claim, or proceeding arising out of or relating to these terms or to sjTasks belongs exclusively in the state or federal courts sitting in Porter County, Indiana, and you consent to the personal jurisdiction of those courts and waive any objection to that venue.
Any claim must be brought within one year of when it arose, or it is given up. Claims are brought individually: no class actions, and no consolidated or representative proceedings.
13. The rest of it
If a part of these terms turns out to be unenforceable, that part is narrowed to what is enforceable and the rest still stands. If we do not enforce something straight away, we have not given it up.
You may not transfer these terms without our written consent. We may transfer them along with the business.
These terms, together with any written order or agreement we have signed with you, are the whole agreement between us, and they replace anything said beforehand. The sections on content and ownership, fees owed, warranties, liability, indemnity, governing law, and this one survive the end of your account.
14. Questions
Questions about these terms go through the contact form, and a person answers them. Our Privacy Policy explains what we collect, what we do with it, and what we do not do with it.
